Archion secondary offering closes as owners step back
Archion has completed the secondary offering of common shares by Daimler Truck and Toyota, with settlement and delivery finished on 29 July. The Archion secondary offering takes both shareholders to 25% each and lifts the tradable share ratio above 35%.
The listing threshold is the point. A tradable share ratio above 35% is the minimum for remaining on the Prime Market of the Tokyo Stock Exchange, so the sale is what keeps the company listed while reducing both parents to minority holdings.
No new shares were issued. The offering moves existing stock rather than raising capital, so it dilutes nobody and brings no money into the business, which matters given what the company says it intends to fund.
Archion became the holding company for Mitsubishi Fuso Truck and Bus and Hino Motors on 1 April 2026, following a definitive agreement signed in June 2025. It names zero-emission technology, including fuel cells, and autonomous driving as the areas where the two businesses should combine.
The structure leaves two competing global truck groups holding a quarter each, and half the company between them. Up to 118,178,300 shares are involved if the over-allotment option is exercised in full.
